ShopVimCenter Terms of Use
28 October 2026
We provide access to ShopVimCenter at https://vimgrace.com/vimcenter/ and its account functions under these Terms. We operate ShopVimCenter as an additional promotional and account resource within ShopVimGrace for creators and partners. We do not operate a marketplace or conclude product purchases on this page.
1 Company and contractual documents
1.1. VIMGRACE, UNIPESSOAL LDA, identified in section 12, is the service provider and contracting party under these Terms. References to "we", "us" and the "Company" mean that company. "You" means the account holder or, where an authorised representative acts for an organisation, that organisation.
1.2. The Promotion Programme Participation Agreement and the Advertising and Content Rules govern approved programme participation. A remuneration schedule applies only to the programme, country and participant for which it has been made available and accepted. The Privacy Notice and Cookie Policy explain data practices; acknowledging them is not blanket consent to every processing activity.
1.3. Product sales, delivery, returns, product safety and statutory purchase rights are governed by the applicable ShopVimGrace checkout documents. These Terms neither replace those documents nor transfer the seller’s obligations to a creator. A conflict concerning a purchase must be resolved under the purchase contract and mandatory law.
2 Eligibility and international availability
2.1. You must be at least 18 and have full legal capacity under the law applicable to you. If the local age of majority is higher, that higher age applies. An organisation must act through a person authorised to bind it.
2.2. We determine the availability of a function or programme by country, product, applicable advertising and business rules, sanctions, tax requirements and payment arrangements. Visiting the website or choosing a language does not confirm your eligibility or change the contracting company. Before accepting your participation, we provide the applicable country and programme conditions.
2.3. You must provide accurate account and eligibility information and update material changes. We may ask for proportionate evidence when needed for programme admission, payment, security or a legal obligation. We will not request unnecessary identity documents as a routine condition of reading public information.
3 Registration and shared account
3.1. When you register in ShopVimCenter, we may also create or connect your ShopVimGrace customer account. We explain that connection on the registration screen before you submit it. We verify access using the available secure method, which may include email, password, a verification link or code, and other methods introduced with suitable notice.
3.2. Keep credentials confidential, use only accounts you are entitled to control, and promptly report suspected unauthorised access. You remain responsible for actions you authorise, but this clause does not make you liable for a security failure attributable to us or for conduct for which mandatory law excludes your liability.
3.3. Creating an account does not automatically approve you as a creator or partner and does not authorise you to represent us. We may operate more than one account for a person where our systems permit; each account has its own programme and referral attribution. Duplicate accounts must not be used for fabricated transactions, artificial recruitment, sanctions avoidance or manipulation of remuneration.
4 Accepting terms and electronic records
4.1. Before you accept, we provide the full applicable terms, their date and a way to save a copy. You accept through a separate affirmative action clearly identified on the screen, with any acceptance checkbox left unselected for you to complete. We do not treat browsing, silence, continued presence on a page or a cookie choice as acceptance of these Terms or consent to marketing.
4.2. We may use authenticated account actions, verified email confirmations and other lawful electronic methods for notices and documents. Where the law requires a signature, qualified electronic signature or another form, we use that method. Keep access to your registered email address and account messages.
4.3. We retain proportionate evidence of the text presented, the account, the affirmative action and its time. You may request a copy of the terms applicable to you and the related acceptance record. These records do not exclude contrary evidence or restrict mandatory rights. Optional marketing and cookie choices remain separate from contractual acceptance.
5 Permitted use and service functions
5.1. You may use the functions enabled for your account to review approved information, submit an application, communicate with support, request approval of promotional materials, and view programme information and statements where eligible. Future paid functions require clear pricing and any legally required express agreement before a charge is incurred.
5.2. Do not interfere with security, access another person’s data, upload unlawful or infringing content, distribute malware, send unsolicited marketing, falsify identity or statistics, scrape protected information without a lawful basis, or manipulate referral attribution and orders. We may use proportionate controls and retain the evidence needed to investigate an incident.
5.3. Product points, estimated remuneration and account statements are subject to the accepted programme schedule. Displayed estimates alone do not establish the final amount payable or guarantee income. We correct material calculation errors, including errors adverse to a participant, and explain a disputed calculation on request.
6 Company materials and account information
6.1. Company names, brands, software and materials remain the property of their owners. Access to a file or logo does not itself grant a right to publish it. The Advertising and Content Rules require approval of each promotional material and define the limited permissions that may be granted.
6.2. Confidential account information may be used for legitimate programme activity and professional advice. Do not disclose other users’ personal information, nonpublic programme schedules or protected business information without authority. Lawful reports to regulators, courts, professional advisers and protected whistleblowing are not restricted.
7 Service changes and interruptions
7.1. We exercise reasonable care in maintaining the service. We may perform maintenance, correct defects and change functions, with reasonable advance notice of a planned material interruption where practicable. Where necessary, we provide another appropriate means of accessing required records and receiving earned amounts. A technical failure, lack of funds, supplier default or third-party platform restriction does not by itself excuse a failure to perform an obligation.
7.2. The service does not guarantee continuous availability, sales, followers, earnings or commercial success. This does not exclude any binding promise expressly made in an accepted schedule, the duty to account correctly, or mandatory rights concerning digital services and data security.
8 Restrictions and termination
8.1. We may restrict access where reasonably necessary to address a breach, fraud, a security incident, a legal requirement or a country restriction. We apply proportionate measures and, where practicable, limit them to the affected function or material. We state the main reason, scope and review route unless disclosure is prohibited by law or would prejudice a legitimate investigation.
8.2. A temporary restriction does not by itself cancel your confirmed remuneration or permanently change a referral chain. For a remediable breach, we ordinarily give you a reasonable opportunity to correct it. Serious unlawful conduct, fraud or a continuing security threat may justify immediate termination. If we withhold a disputed amount, we identify it and the issue being checked.
8.3. You may close the ShopVimCenter profile using the confirmed closure function or by emailing support, subject to proportionate identity verification. We record the effective time and send confirmation. Closing ShopVimCenter does not automatically close a ShopVimGrace customer account or delete order records that must be retained. Programme settlement and chain changes are governed by the accepted private schedule.
8.4. Where mandatory intermediary service law applies to a particular function, its notice, reasons, complaint and redress requirements take priority over a contractual restriction procedure. Use the Company contact for a content notice or a request for review, identifying the material or decision and the reasons. This clause does not restrict a statutory reporting channel, order or remedy.
9 Liability and mandatory rights
9.1. Each party is liable for loss caused by its breach, subject to applicable law, causation and reasonable mitigation. In business relationships, liability for indirect contractual loss or speculative lost opportunities is limited only to the extent permitted by law and subject to clause 9.2. No automatic penalty, general indemnity for every third-party claim or forfeiture of all remuneration is imposed by these Terms.
9.2. No provision excludes or limits liability for intentional wrongdoing or gross negligence, including such conduct by a party's representatives or persons engaged to perform its obligations. No limitation applies to personal injury, damage to health, non-contractual property loss or any other liability that cannot lawfully be limited. Mandatory consumer, employment, data protection and product rights remain unaffected. Describing a participant as independent does not transfer our own legal obligations to that participant.
10 Changes to these Terms
10.1. We may amend these Terms for legal, security, service or operational reasons. We give at least 15 calendar days' advance notice of a material change and at least 30 calendar days for an adverse remuneration change under the relevant schedule. Any longer mandatory notice period applies. A shorter period is permitted only where required by law or urgently necessary to prevent harm, with an explanation as soon as lawful and practicable.
10.2. Changes operate prospectively and do not remove already accrued rights. Where fresh acceptance is legally required or a change introduces a materially new obligation, we obtain it before applying the change. You may stop using the service or end participation before the change takes effect without losing an entitlement already earned under the prior terms.
11 Complaints and applicable law
11.1. Send account or contractual complaints to manager@vimgrace.com or through support. We normally acknowledge a complaint within 5 business days and aim to provide a reasoned response within 15 business days; a binding shorter legal deadline takes priority. If more time is needed, we explain the reason and expected next step. Privacy requests follow the statutory process in the Privacy Notice.
11.2. Portuguese law governs these Terms. This choice does not deprive a consumer of mandatory protection under the law of their habitual residence where that protection applies. Consumers retain their statutory rights to bring proceedings before a competent court and use applicable dispute resolution procedures. For disputes exclusively between businesses, the competent courts of Funchal, Portugal, have jurisdiction, subject to mandatory jurisdiction rules.
11.3. Consumers may refer disputes within its competence to the Madeira Consumer Arbitration Centre (Centro de Arbitragem de Conflitos de Consumo da Região Autónoma da Madeira), at https://www.madeira.gov.pt/cacc. Statutory rights to require arbitration or mediation, including the consumer option for qualifying low-value disputes, remain unaffected. No Company membership of that Centre is asserted.
11.4. Mandatory local language and consumer information requirements apply in each market. The availability of these Terms in English does not remove a requirement to provide a contract, notice or advertisement in another language.
